1. Service Overview

Pointly is a loyalty points management application for Shopify stores. By installing and using this application, you agree to be bound by these Terms of Service.

Our service provides:

• Points Management System: Automatic calculation and tracking of customer loyalty points
• Points Display: Theme extension to show earnable points on product pages
• Points Redemption: Allow customers to redeem points for discounts
• Admin Dashboard: Manage customer points and view analytics
• API Access: Integration capabilities through App Proxy

2. Eligibility

To use Pointly, you must:

• Have an active Shopify store
• Be at least 18 years old or the age of majority in your jurisdiction
• Have the authority to bind your business to these terms
• Comply with Shopify's Terms of Service

3. Account and Authentication

Pointly uses Shopify's OAuth authentication system. By installing the app, you authorize us to access certain data from your Shopify store as described in our Privacy Policy.

Pointly offers the following subscription plans:

Usage-based pricing: For Growth plans, customers exceeding 10,000 registered customers will be charged $0.001 per additional customer per month.

All charges are processed through Shopify's billing system. You can cancel your subscription at any time through the Shopify admin panel.

6. Prohibited Uses

You agree not to use Pointly to:

• Violate any applicable laws or regulations
• Engage in fraudulent activities or deceptive practices
• Manipulate point balances in bad faith
• Attempt to reverse engineer or compromise our systems
• Interfere with other users' access to the service
• Use automated systems to abuse the service

7. Intellectual Property

Pointly and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your store data. By using our service, you grant us a limited license to process your data as necessary to provide the service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The service will be uninterrupted or error-free
• Defects will be corrected
• The service is free of viruses or harmful components
• The results obtained from the service will be accurate or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from the use of Pointly shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Pointly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the service or violation of these terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these Terms or the use of Pointly shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Tokyo, Japan.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the new terms.
